Agreement to terms
These Terms of Service (“Terms”) govern your access to and use of the website operated by XQM Health (“XQM,” “we,” “us,” or “our”) at xqmhealth.com and related pages (collectively, the “Site”), including any content, features, or introductory interactions offered through the Site.
By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site. If you are using the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
What the Site is for
The Site provides general information about XQM and our services, which can include operational consulting, licensing and accreditation support, policy development, staffing and infrastructure coordination, and advisory or coaching offerings described on the Site or in separate proposals.
The Site does not itself deliver clinical treatment or patient care. Any professional services are provided only pursuant to separate written agreements, statements of work, or engagement terms as applicable, which will control over conflicting provisions on the Site if there is a conflict.
Not medical, legal, or regulatory advice
Content on the Site is for general informational purposes only. Nothing on the Site is medical advice, mental health treatment, or a substitute for licensed clinical judgment. Nothing on the Site is legal advice or a substitute for counsel qualified in your jurisdiction.
Healthcare licensing, accreditation, reimbursement, and operational requirements vary by state, payer, facility type, and facts on the ground. You are solely responsible for your regulatory, clinical, and business decisions and for retaining appropriate licensed professionals.
No professional relationship from browsing alone
Use of the Site, sending an inquiry, or booking an introductory session does not by itself create a professional-services relationship beyond what these Terms expressly state. Any ongoing advisory, consulting, or coaching relationship is subject to mutual agreement, scope, and fees as separately documented.
Eligibility and acceptable use
The Site is intended for adults and business users. You agree not to:
- Use the Site in violation of law or regulation
- Attempt to gain unauthorized access to our systems, other users, or third-party services
- Interfere with the security or availability of the Site
- Use automated means to access the Site in a manner that imposes an unreasonable load or bypasses reasonable restrictions
- Scrape or harvest data from the Site without our prior written consent
- Misrepresent your identity or affiliation
We may suspend or terminate access if we reasonably believe you have violated these Terms or pose a risk to XQM or others.
Intellectual property
The Site and its content (including text, graphics, logos, layout, and selection and arrangement) are owned by XQM or our licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your internal business purposes. You may not copy, modify, distribute, sell, or lease any part of the Site without our prior written consent except as allowed by applicable law.
Third-party tools and links
The Site may link to or embed third-party websites, scheduling tools, forms, or payment providers. We do not control those services. Your use of third-party services is at your own risk and subject to their terms and privacy policies.
Disclaimers
THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.
We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that any content will be accurate or complete at all times.
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL XQM OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100) OR (B) THE AMOUNTS YOU PAID TO XQM SPECIFICALLY FOR SITE-RELATED ACCESS IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (IF ANY). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, THESE LIMITS APPLY TO THE MAXIMUM EXTENT PERMITTED.
Indemnity
You will defend, indemnify, and hold harmless XQM and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of applicable law or third-party rights.
Governing law and venue
These Terms are governed by the laws of the United States and the laws of the State in which XQM Health maintains its principal business operations, without regard to conflict-of-law principles that would require application of another jurisdiction’s laws.
Except where prohibited by law, you agree that exclusive jurisdiction for any dispute arising out of or relating to these Terms or the Site will lie in the state and federal courts located in that same State, and you waive any objection to venue in those courts.
General
- Entire agreement (Site). These Terms constitute the entire agreement between you and XQM regarding the Site. Separate engagement documents govern purchased services where applicable.
- Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in effect.
- No waiver. Failure to enforce a provision is not a waiver of our right to enforce it later.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
Changes to these Terms
We may modify these Terms at any time by posting an updated version on this page and changing the “Last updated” date. Your continued use of the Site after changes become effective constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Site.
